Terms of Service

The Terms of Service below describe the way in which you (the "Member") may use the Toolfarm Service ("Service") and interact with the Toolfarm website (the "Site"). By signing into the Site, you indicate that you accept these Terms of Service and that you agree to be bound by them. We reserve the right to modify these Terms of Service at any time.

Effective Date

These Terms of Service will become effective on the date you agree to it, which consists of signing up and creating your account with Toolfarm.

Basic Terms and Conditions

You must be at least 13 years old to use this Service and are responsible for any activity that occurs under your account. Toolfarm allows its Members the ability to upload content for distribution and future viewing. Saved video will remain in the Member's online account as long as the member remains in good standing (i.e. does not violate these Terms). Members must also notify Toolfarm immediately by e-mail if there has been theft or loss of any Member Name or password.

Prohibited Activities

You must not use the Toolfarm service:
i. for any illegal or unlawful purposes
ii. upload, post, or share any material that is abusive, obscene, defamatory, slanderous, offensive, or otherwise inappropriate
iii. upload, post, or share any material that compromises any contractual or fiduciary relationship or which infringes any copyright, trade mark, patent, or other intellectual property right without the express permission of the owner.
iv. upload, post, or share any material that contains viruses, worms, corrupt files, or any other content that may compromise the Service
v. upload, post, or share any material that advocates illegal activity, or harms anyone, including minors
vi. to transmit any unsolicited or unauthorized advertising, promotional materials, spam, pyramid schemes, or any other form of solicitation
vii. to impersonate any person or entity, or otherwise misrepresent your identity and/or affiliation with a person or entity.
viii. to interfere with or disrupt the Service, servers, or networks connected to this Service, or to disobey any requirements, procedures, or policies of networks connected to this Service
ix. to provide any information to Toolfarm that is false or misleading, that attempts to hide your identity, or that you do not have the right to disclose
x. to resell any portion of the Service
xi. to violate any laws, rules, or regulations of any governmental or other administrative organization having authority over Toolfarm, the Service, or the Members of the Service.

Copyright and Other Legal Compliance

Members retain all rights in any material uploaded to the Service by the Member or others authorized by the Member. No copyrighted material may be placed on the Service by anyone without the permission of the copyright owner, or persons authorized by the copyright owner to grant permission. You are responsible for obtaining the necessary permission before permitting any copyrighted material that belongs to others to be placed on the Service. Except as may be permitted by the Copyright Law, you are responsible for obtaining permission before reusing any copyrighted material that is available on the Service. The Service is protected by U.S. and international copyright laws and by other applicable laws. You are solely responsible for any copyright violations that you may incur as a result of your activities on the Service. Indemnification

You agree to indemnify, defend, and hold harmless Toolfarm and all Toolfarm affiliates from and against all damages, claims, liability, costs, and expenses - including but not limited to reasonable attorneys fees - resulting from any violation of these terms or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing this Service using your account.

Limitation of Liability and Warranty

Member acknowledges that use of the Service is at Member's sole risk. The Service is not warranted to be error free or uninterrupted, and there is no warranty as to the results obtained through use of the Service. The Service is made available on an as is basis. Toolfarm may, at its discretion, but shall not be obligated to, provide support for the Service and related Toolfarm software and tools. THERE ARE NO WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR USE WITH RESPECT TO THE SERVICE. Neither Toolfarm nor anyone else involved in creating, producing, or delivering the Service, or any services accessible through the Service, will be liable for any direct, incidental, special or consequential damages arising out of these Terms. The provisions of this Section will survive termination of the agreement to these Terms.

Termination

Toolfarm may, in its sole discretion, terminate your Membership (or any part thereof) or your use of the Service, and remove and discard any Content at any time, without notice, for any reason, including, but not limited to conduct that violates these Terms or other policies or guidelines set forth by Toolfarm elsewhere on the Site, and conduct Toolfarm believes is harmful to Toolfarm or Toolfarm users and/or affiliates. Termination or suspension of any account does not relieve you of any obligations you have accrued, including payment of any charges due in connection with an account.

Entire Agreement

These Terms constitute the entire agreement between you and Toolfarm governing your use of the Service.
